My Dear Friends,

On behalf of The American Chamber of Commerce in South China, I am pleased to invite you to participate in our HR Committee Meetings to explore the new Labor Contract Law.

On Friday, June 29, 2007 the Law of the People's Republic of China on Employment Contracts was signed. This law—designed to improve the employment contract system and build/develop harmonious employment relationships—includes sweeping changes to protect the rights and interests of workers.

The new law goes into effect on January 1, 2008 and generally applies to all employers - whether State-Owned Enterprises, private enterprises of foreign-owned entities (multinational corporations), and staffing agencies. Additionally, all employees are covered under the law, including part-time employees and those seconded (or placed) through a staffing agency (Civil servants excluded).

The key features of the law include:

l         Clarification of the contractual relationship between employees and employers

l         Detailed rules for workforce reduction including advance notification requirements to employees and/or unions

l         Change-in-control rules that impact mergers, acquisitions, and divestitures

l         Notification requirements regarding employer's policy on labor matters

l         Required formal establishment for staffing agencies

l         Damages and fines for failure to comply

Given the scope of the law, HR representatives must consider both the strategic and administrative implications resulting from the new requirements. You may need to:

l         Issue new written contracts to employees

l         Establish processes to handle the administrative requirements of the new law

l         Take proactive measures in workforce planning to understand the potential financial implications

l         Consider alternative employee assessment, on-boarding, and training programs to mitigate termination obligations
